Terms and Conditions

I. DEFINITIONS

“Applicable Laws” means the laws of India and all the statutes, rules, regulations, ordinances, notifications, orders, guidelines and policies notified or promulgated pursuant thereto and modifications thereof in force from time to time.
“Affiliates” ” means any Associate Company/Subsidiary Company (as defined in Companies Act, 2013) of ICICI Bank (defined below);
"Contest" ” means the Creative Writing Contest hosted on Live Your Passion website. i.e. on https://www.liveyourpassion.in
"Contest Period" shall mean the period from 12:00:00 a.m. of November 1, 2019 till 11:59:00 p.m. of January 31, 2020 as per Indian Standard Time.
"Contest Website" shall mean https://www.liveyourpassion.in
"Customer" shall mean those individuals who have a Salary Account banking relationship with ICICI Bank as on October 31, 2019.
"ICICI Bank" shall mean ICICI Bank Limited, India.
"Participant”/ “You”/ “Your”/ “He”/ “She" ” shall mean all those individuals who participate in the contest.
"Partner” shall mean ICICI Bank’s sponsor partners and associates of the contest which includes Story Mirror.
“Prize”or“Award” shall mean the Prizes and Awards as mentioned in the Prizes and Awards section of the contest website.
"Submission" shall mean the Story/Poem or Quote entry submitted by the Participant.
“Terms”/”Contest Rules” shall mean the goods/benefits/facilities offered by the Alliance Partner.
“Winner/s” shall mean all those eligible Participants who have scored the highest marks in the Contest in their respective categories (Story/Poem or Quote) and are entitled to a Prize or Award basis the Contest Rules.

II. ELIGIBILITY

The Participant needs to be an ICICI Bank Salary Account customer. Non ICICI Bank Salary Account holders shall not be eligible for any prizes including that for participation. ICICI Bank customers as on October 31, 2019 shall be eligible for the prizes.
ICICI Bank employees can participate in the contest. They are however, only eligible for participation prizes for valid entries but are not eligible for the mega prizes in the writing Contest. The employees’ immediate family members are eligible for prizes, if they are customers of the bank.
Participation prizes will be given to participants, subject to entries published on the Story Mirror website.

III. TERMS PRESCRIBED FOR THE CONTEST

The Participant hereby represents that the entry being submitted by him is an original literary work within the meaning of The Copyright Act, 1957 and the copyright in relation to the same vests solely in him. In compliance with the requirements under The Copyright Act, 1957, he hereby grants an exclusive, perpetual and irrevocable license to ICICI Bank Limited/its group companies and StoryMirror to use/publish/release/edit/reproduce (in any manner), create derivative works, remove any derogatory or defamatory mark, license, print, translate, sub-license, distribute and/or otherwise exhibit the content forming part of the entry or any portion thereof in any manner and in any medium/forum in India or abroad, in consideration for participation in the contest and the publication of the entry.
The Participant needs to register for the Contest by filling up the registration form available on the Live Your Passion website - https://www.liveyourpassion.in
Post registration, a username (participant’s registered email ID with the bank) and password shall be provided to the Participant which can be used to participate in the Contest.
The Winners shall be announced after the end of the Contest Period.

By submitting the entry, each participant agrees to the Terms and Conditions and warrants that his/her participation complies with all requirements as set out herein.
By registering on LYP for the Creative Writing Contest, the Participant hereby is automatically registered on www.StoryMirror.com
This Contest is based purely on the skill of the Participant and chance plays no part in the determination of the Winners.
. ICICI Bank’s decision pertaining to the Contest and Winners will be final and binding to all the Participants.
The participation in the Contest is entirely voluntary and it is understood that the participation in the Contest by the Participants shall be deemed to have been made on a voluntary basis.
ICICI Bank holds out no warranty or makes no representation of the quality, usefulness, worthiness, delivery or otherwise of goods and services or prize offered by the Partner(s) and shall not be responsible/liable in any way whatsoever for the same.
Any tax, charges or other liabilities payable to the government or to any other statutory authority/body, or any participating establishment, which may arise or accrue to the Winner due to provision of the Prize, shall be borne solely by the Winner. Tax deducted at source, if any, on the monetary value of the prize shall be payable by the Winner.
ICICI Bank reserves the right to disqualify the Winner or the Partner/s from the benefits of the Contest if any fraudulent activity is identified as being carried out for the purpose of availing the Prize under the Contest or otherwise for participating in the Contest. The decision made by ICICI Bank with regard to disqualification of a Participant shall be final and binding.
The Contest and the Prizes are subject to applicable Indian laws and such other Terms and Conditions as may be stipulated by ICICI Bank. The Contest and the Prizes are not available wherever prohibited and/or on merchandise/products/services for which the Contest cannot be offered for any reason whatsoever.
ICICI Bank shall not be liable in any manner whatsoever for any loss/damage/claim that may arise out of use or otherwise of goods/services/prizes offered by the Partner and availed by the Winner under the Contest.
After the Prizes are duly shared with/handed over to the Winner/s, ICICI Bank shall not be responsible for any loss, damage, theft of the same.
. ICICI Bank shall not be held liable for any delay or loss that may be caused in Prize delivery.
All issues/queries/complaints/grievances related to the Prize, if any, shall be addressed to Partner directly without any reference to ICICI Bank. The same shall be addressed by the Partner, only up to a period of 30 days after the date of receipt.
The existence of a dispute, if any, regarding the Prize including any claim regarding the usefulness, worthiness, nature and/or quality of it, shall not constitute a claim against ICICI Bank and shall be addressed by the Partner.
All disputes are subject to the exclusive jurisdiction of the competent courts/tribunals of Mumbai.
ICICI Bank/Partner reserves the right to modify/change all or any of the terms applicable to the Prize as per its discretion without assigning any reasons or without any prior intimation whatsoever. ICICI Bank also reserves the right to discontinue the Prize without assigning any reasons or without any prior intimation whatsoever.
The Winner shall be bound by the Terms and Conditions stipulated by the Partner/s in regard of the Prizes.
ICICI Bank reserves the right to revoke the Contest or modify/change all or any of the terms applicable to the Contest as per its discretion without assigning any reasons or without any prior intimation whatsoever. ICICI Bank also reserves the right to discontinue the Competition without assigning any reasons or without any prior intimation whatsoever.
ICICI Bank will not be liable in any manner whatsoever for any loss/damage/injury or claim that may arise due to withdrawal or change in the Terms and Conditions of the Contest or Prizes.
These Terms and Conditions shall apply to all Participants who are also contributors of content forming part of the entries submitted by them, including any image thereunder, as a part of the Contest. The Participant hereby acknowledges and agrees that he/she shall be solely responsible for the content forming party of any entry submitted by him/her and the consequences of submitting and publishing the entry. The Participant also agrees that he/she shall be responsible for obtaining all model/or property releases, as applicable, in relation to any entry submitted by him/her. By submitting an entry, the Participant represents and assures that the entry is not plagiarized and is his/her original work. Further, the Participant also represents that the entry does not violate copyright, trademark and/or any other intellectual property right of a third party. The Participant further acknowledges and consents that ICICI Bank and/or its Affiliates shall not be liable in any manner, whatsoever, for any intellectual property infringement claim related to or arising out of the entry submitted by him/her and use of the same by ICICI Bank and/or its Affiliates.
The Participant hereby grants an exclusive, perpetual and irrevocable license to ICICI Bank and/or its Affiliates and StoryMirror (ICICI Bank and/or its Affiliates and StoryMirror are hereinafter collectively referred to as “Exclusive Licensees”) in the content forming part of his/her entry (including any image thereunder) in consideration for participation in the Contest, publication of the entry and the Prize. The Participant recognizes and agrees that, as a result of granting exclusive license to the Exclusive Licensees, the Exclusive Licensees shall have all the rights comprised in the copyright of the original entry to the exclusion of all other persons (including the Participant). The Exclusive Licensees shall have the right to publish, release, edit, reproduce (in any manner), use, create derivative works, remove any derogatory or defamatory mark, license, print, translate, sub-license, distribute and/or otherwise exhibit the content of the entries or any portion thereof submitted by the Participant in any manner and in any medium or forum in India or abroad, without notifying or taking permission of the Participant and the Participant hereby agrees that he/she will not raise any objection in relation to the same.
The Participant hereby represents and confirms that the content forming part of any entry submitted by him/her is not defamatory, invasive of someone’s privacy, objectionable, blasphemous, pornographic, or otherwise unlawful in any manner whatsoever. The Participant further acknowledges that in case of violation of any of the representations and/or undertakings given by him/her, the Exclusive Licensees shall have the right to take recourse to such remedies as would be available to them under the Applicable Laws.
The Participant agrees and consents to severally indemnify the Exclusive Licensees for any intellectual property rights infringement claim related to or arising out of the entries submitted by them and/or use of the same by the Exclusive Licensees.

IV. PARTNER TERMS AND CONDITIONS: StoryMirror Infotech Pvt Ltd

ACCEPTANCE

By accepting the terms and conditions of storymirror.com and any other polices and notices published on the website storymirror.com, the same shall be constituted as an agreement between you and storymirror.com. Further by accepting the terms and conditions and policies you affirm that you are competent as per law to accept the terms and policies, or a liberated minor, or possess parental or legally appointed guardian’s consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, policies and warranties set forth in these terms of Service, and undertakes to abide by and comply with these Terms of Service. If after reading the terms enumerated herein below or any other policy of storymirror.com, the same is not acceptable to you then you are advised not to accept the terms and conditions or the policies of storymirror.com. If the policy or terms and conditions are once accepted, then the same shall be binding upon you. There may be some major or minor changes in the Terms of Service or policies which will be notified to our users, however you should periodically review the same by visiting our website. It will be the sole discretion of storymirror.com to modify or revise these Terms of Service and policies at any time, and you agree to be bound by such modifications or revisions.

REVIEW AND APPROVAL

The data including but not limited to story, poetry, scripts, poems, phrases, graphics, texts uploaded to storymirror.com will be called as “contents”. Any content submitted to or uploaded to storymirror.com is subject to review and approval before it will appear on the website. Contents uploaded to www.storymirror.com are the opinions of those who authored them. Any content will be deleted if deemed offensive, off-topic, repetitive or injurious of terms of service, privacy of others or against the law of the country. You understand and agree that storymirror.com may retain the contents once uploaded but may not display, distribute, perform, server copies of contents that have been removed or deleted.

LICENSE AND AUTHORITY

Storymirror.com does not own any content uploaded or submitted to its website, however, by submitting the contents to our website you hereby acknowledge and hereby grant StoryMirror Infotech Pvt Ltd and its affiliates a non-exclusive, perpetual, license to publish, release, edit, reproduce (in any manner), use, create derivative works, remove any derogatory or defamatory remarks, license, print, translate, perform, sublicense, distribute and otherwise exhibit the contents materials you submit, or any portion thereof in any manner and in any medium or forum, whether now known or hereafter devised, without your information and permission and its author will have no objection with regard to the same. You also agree that anyone can access contents through storymirror.com. It is further agreed by you by accepting the terms and conditions that any income earned from using in any manner the content submitted to www.storymirror.com will be of StoryMirror Infotech Pvt. Ltd and its author will have no claim and relinquishes all such claims by accepting these terms and conditions. However, it is clarified that, all the ownership rights in the contents, materials etc. will be retained by the person being the lawful owner. By submitting the contents, materials, texts to storymirror.com the owner gives worldwide, non-exclusive, royalty-free, transferable license to non-exclusive, perpetual, license to publish, release, perform, edit, reproduce (in any manner), use, create derivative works, remove any derogatory or defamatory remarks, license, print, translate, sublicense, distribute and otherwise exhibit.

RESTRICTIONS

All the users of storymirror.com are hereby notified and hereby agrees not to engage in the use, copying, distribution, and publication of any of the content of storymirror.com in any medium other than expressly permitted herein or without the prior written permission obtained through the website for any commercial purposes. If storymirror.com comes to know about anyone who is using any content of our website or doing such activity causing any harm to the reputation, business model, contents, market value or any wrongful loss to storymirror.com in any manner and is making any wrongful gain then StoryMirror Infotech Pvt Ltd will take legal action against such person and StoryMirror InfoTech Pvt Ltd will have all the rights upon any wrongful gain made by such person.

LIABILITY AND INDEMNITY

In connection with contents you further agree that you will not submit material that is copyrighted, protected by trademark or otherwise subject to intellectual property rights including but not limited to privacy and publicity rights, unless you are the owner of such rights or have permission or license or authority from their rightful owner, the necessary consents from any individuals whose personally identifiable information is contained in such contents posted, uploaded or sent storymirror.com. Storymirror.com does not endorse any content or any opinion, recommendation, or advice expressed therein and storymirror.com expressly disclaims any and all liability in connection with the contents. Storymirror.com does not permit copyright infringing activities and infringement of intellectual property rights on its Website, and Storymirror.com will remove all infringing contents if properly notified that such Contents infringes on another's intellectual property rights or breaches the privacy of anyone without prior notice. If anyone uploads any content which infringes the intellectual property right of any person then the person who uploads such content will only be liable for such infringement and also agrees to indemnify and or compensate StoryMirror Infotech Pvt Ltd, its officers, directors, employees, agents, associates from and against any and all claims, demands, causes of action, damages, obligations, losses, liabilities, costs or debt, and expenses, (including but not limited to reasonable legal fees) arising from such usage, breach of such terms, conditions or violation of any intellectual property rights, claim from any person or any other loss.

REPORTING COPYRIGHT AND OTHER IP VIOLATIONS

We respect people's rights, and expect everyone to do the same.
If anyone finds any content infringing any intellectual property right on storymirror.com then the same can be reported to us on admin@storymirror.com with the details of the infringing content and documents verifying that the content is intellectual property owned by anyone.
If you repeatedly infringe any intellectual property rights, we will disable your account.

ACCOUNT - CREATION TO TERMINATION

Anyone can create your account on storymirror.com. It is necessary to read these terms of service and policies before the creation of the account, however, we know that you have faith in us, therefore you may prefer not to read these terms of service but still you will be bound by these terms and our policies. While creating account on storymirror.com you have to carefully in fulfilling all your correct personal details in such a manner so that you can be easily identified by our team and we assure you that we will keep your personal information secrete except showing you name along with your content. We will not hesitate in terminating your account if you violate any terms of service, privacy policy, intellectual property right, or engage in any unlawful activity on storymirror.com and also reserves the right to take any other action as per law against such violator. Once the account has been terminated you are not allowed to create the account again without our permission.

GOVERNANCE OF LAW

By agreeing to these terms of service you agree that you submit yourself to the jurisdiction of the courts at Delhi and will be governed by the laws of INDIA. Any cause of action or dispute you have with us will be exclusively in the state of NCT of Delhi. If any terms of service or any policy of storymirror.com is struck down or held illegal by the court of competent jurisdiction or by any other law of the country of governance, then it cannot be said that the whole of the terms and policy is invalid.

DISCLAIMER OF WARRANTIES

You acknowledge that your use of the service is at your sole risk. We do not warrant that your use of the service is lawful, and we specifically disclaim such warranties. Storrymirror.com do not represent or warrant that the service will be error-free or uninterrupted; that defects will be corrected; or that the service or the server that makes the service available is free from any harmful components including but not limited to virus, however best effort will be done by us to keep our services error free and protect our servers and contents from any harmful devices, software, violators. We do not warranties that the information on the service is accurate, complete, or useful. Neither storymirror.com nor its officers, directors, employees, agents and associates will be liable for any errors, omissions, for any loss, damage of any kind incurred as a result of the use of any content made available through story mirror.com. Returns Policy

The following general guidelines with regard to returns apply to all items sold on StoryMirror.

Damaged/ defective items must be returned in the original condition as they were received in with all the accompanying accessories and in the original shipping box/packaging. Once accepted and used, items cannot be refunded.
Items that you no longer need must be returned in new and unopened condition with all the original packing.

Cancellation Policy

Items can be cancelled prior to dispatch. Once dispatched, items cannot be cancelled.

Refund Policy

Items that are cancelled or returned prior to dispatch is eligible for full refund.
However, once dispatched, full amount refund policy doesn't hold good and buyer must bear the cost of courier charges.
In case of Cash On Delivery, refund policy does not hold good if items opened and used.

Age Policy

StoryMirror is committed to provide appropriate content to various age group.
Wherever there is matured content, relevant information would be available to take proper action prior to usage.

DELIVERY SERVICES

The contents submitted in the website are reviewed and made live in 3-5 days. However, certain contents needed to be reviewed prior to submission and hence may take more time to make it live. In case of e-books and books, the delivery to customer varies from case to case basis. If payment has been made by the customer, the e-book download is instantaneous. In physical books, the delivery will vary based on pin code of the addressee. In most cases, the delivery is within 1 week for physical books.

TERMS AND CONDITIONS GOVERNING ICICI BANK’S CONTINUOUS ENGAGEMENT ‘LIVE YOUR PASSION PROGRAM’

The following terms and conditions (“Terms”) shall apply to and govern ICICI Bank’s ‘Live Your Passion’ Program. ICICI Bank may specify additional terms and conditions governing the Program from time to time and/or revise or amend the existing Terms. Such terms shall be in addition to and not in derogation of these Terms. Such amended/revised terms/ additional terms and conditions shall be communicated by ICICI Bank by hosting the same on Website http://liveyourpassion.in/default.aspxThe Users shall be responsible for regularly reviewing these Terms including any amendments thereto as may be posted on Website. All Users undertake to have read and understood these Terms and agree to abide by them at all times.

DEFINITIONS

“Content” shall mean Articles, videos, photographs, event calendar and offers related to Travel, Food, Health, Photography and Art.
“Intellectual Property”shall mean and include any right, title or interest whatsoever in, to or over any of the trademarks, patents, service marks, designs, logos, copyrights, (whether registered or unregistered), including the right to file for registration.
"Intellectual Property Rights" means all rights, benefits, title or interest in or to any Intellectual Property, anywhere in the world (whether registered or not and including all applications for the same).
"Membership"shall mean the membership of the User who registers himself/herself on the Website for the purposes of reading, accessing or using the features of the Website.
"Offer"shall mean that portion of the Content on the Website which shall hosts various offers offered by alliance partners of ICICI Bank.
"Program" means the ‘Live Your Passion’ program initiated by ICICI Bank which is a platform to learn, explore and live one’s passions of Travel, Food, Health, Photography and Art through rich content of articles, videos, photographs, expert sessions, events, contests and offers relating to each of these Categories.
"User"means existing customers of ICICI Bank or any other who is above the age of eighteen (18) and wishes to access the Website
"User Content" shall mean the contribution made by the User which is hosted on the Website relating to the Categories.
"Website”means the official page of Program www.liveyourpassion.in.

COMMON TERMS OF THE PROGRAM

USER REGISTRATION

The User can register himself/ herself by clicking here
The User is bound to provide true, accurate, current and complete registration information about himself/herself as may be prompted/required by any registration forms on the Website and, if such information changes, the User will promptly update the relevant registration information
The User agree that the User shall not sell, transfer or assign the Membership or any Membership rights. The User agrees to notify ICICI Bank immediately at support@liveyourpassion.in of any breach of security or unauthorized use of the User Membership. ICICI bank reserves the right to terminate the User account or otherwise deny the User access to the Website in ICICI Bank’s sole discretion for any or no reason without notice and without liability.

ICICI BANK RIGHTS AND OBLIGATIONS

ICICI Bank shall have the right to determine and select, in its sole discretion, the Content and Offers relating to the Categories used/displayed on the Website
2. The contents on the Website are, including, without limitation, only for disseminating information, entertainment and promotional purposes. ICICI Bank does not provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness or suitability of the information materials, Content, Offers on the Website for any particular purpose
In many instances, the Website will include Content and Offers posted by a third-party or will represent the opinions and judgments of a third-party. Any opinions, advice, statements, services, advertisements, offers or other information or content expressed or made available through the Website by third parties, including information providers, are those of the respective authors or distributors and not of ICICI Bank. ICICI Bank does not endorse, warrant and is not responsible for the accuracy, timeliness, completeness, usefulness or reliability of any opinion, advice, or statement made on the Website by any third party.
5. ICICI Bank does not take any responsibility for the User’s exposure to third party content on the Website. ICICI Bank does not advocate the use of any product or procedure described in the Website, nor ICICI Bank shall be responsible for misuse of the Content or procedure due to typographical error.
ICICI Bank may provide the User with the ability to interact with the User’s existing social media accounts, such as Facebook or Twitter. These features may enable integration and/or access to the User’s social media accounts. ICICI Bank does not control those social media services, the User’s profiles on those services, the User’s privacy settings on those services or establish rules about how your information on those services will be used. ICICI Bank shall not be responsible for any acts or omissions by any social media service provider or your use of features on their platforms. ICICI Bank shall not be responsible for any information that the User discloses or communicates in forums, such as message boards, comments/reviews section, communities (if any) and other interactive forums available as part of the Services on ‘Live Your Passion’. Any disclosures by the User, including his/her Personal Information, which may be disclosed and made available to all users who have access to that portion of the Site or Services, shall be at the User’s own risk.

REPRESENTATIONS AND WARRANTIES BY USER

The User hereby agrees to access the Website at the User’s own violation and understands the risk associated with it.
The User acknowledges and declares that the User Content is a novel and original work of User which is neither a copy nor has been previously used in any manner. The participation of the User in the Program is entirely voluntary and it is understood, that the participation of the User in the Program shall be deemed to have been made on a voluntary basis. The User represents and warrants that the submitted User Content does not infringe any copyright, trademark, proprietary rights, rights of privacy or publicity, Intellectual Property Rights of any person, or any other right including but not limited to Intellectual Property Right of any third party whether in law or in equity. ICICI Bank shall have the sole right to remove the User Content from the Website if any User Content is found to be copied, adapted, or otherwise not novel.

User acknowledges and agrees that it shall not acquire or claim any title on any of ICICI Bank's / its affiliates Intellectual Property by virtue of the rights granted to it under these Terms or through its use of such Intellectual Property;
not at any time, do or omit to do, anything which is likely to prejudice ICICI Bank's / its affiliates ownership of such Intellectual Property Rights;
neither acquire at any time hereafter nor shall it claim or assert any right, title or interest whatsoever in, to or over any of Intellectual Property belonging to ICICI Bank/its affiliates;

The User hereby agrees to accept sole responsibility for all activities that take place under the Membership, whether or not the User has authorized the activity.
The User may not rely on any information and opinions expressed on the Website. In all instances, it is the User’s responsibility to evaluate the accuracy, timeliness, completeness, or usefulness of the Website’s content. The User acknowledges that such information and materials may contain inaccuracies or errors and ICICI Bank expressly excludes liability for any such inaccuracies or errors to the fullest extent permitted by Applicable Law
The User hereby understands and agrees that once the user terminates his/her Membership, then ICICI Bank shall, at its sole discretion retain/remove the said User’s Content.
The User understands and agrees, ICICI Bank has no liability in case of any dispute between persons accessing the Website or between persons accessing the Website and any third party which has provided the content on the Website.
The User agrees to cooperate fully with ICICI Bank in the defense of any claim that is the subject of the User obligations hereunder.

CONFIDENTIALITY

All details, documents, data, applications, software, systems, papers, statements and business information which is communicated / submitted by ICICI Bank or any of its representatives to the User shall be regarded as confidential information (“Confidential Information”).
All Confidential Information shall be treated as absolutely confidential and the User irrevocably agrees and undertakes to ensure that they shall keep the same secret and confidential and that they shall not disclose the same, in whole or in part to any person without the prior written permission of ICICI Bank.
The User agrees:

To take all necessary action to protect the Confidential Information against misuse, loss, destruction, deletion and/or alteration.
Not to misuse or permit misuse directly or indirectly, or commercially explore the Confidential Information for economic or any other benefit.
Not to make or retain any copies or record of any Confidential Information.
To notify ICICI Bank promptly of any unauthorized or improper use or disclosure of the Confidential Information.
To return all the Confidential Information upon termination/conclusion of the Program.
The User shall ensure that it has appropriate mechanisms and means to ensure adequate precautions to protect the privacy and confidentiality of all Confidential Information.
Nothing contained herein shall be applicable to any information required to be provided to any statutory / regulatory / government authority under Applicable Laws.
ICICI Bank may share the information collected through Program with any third party. ICICI Bank may from time to time employ other companies and individuals, agents / partners / service providers / authorized parties (“Third Parties’) to carry out functions on the behalf of ICICI Bank including but not limited to delivering services, sending mail, providing marketing assistance, analysing data, providing customer service and for accounting and invoicing purposes. In order to carry out their functions these companies and individuals may require access to User’s personal information but ICICI Bank shall only disclose such relevant personal information as is needed by these Third Parties to perform their functions. These Third Parties may send him/ her SMS, emails, phone calls and any other communications in relation to the Program content despite being registered with ‘Do Not Call’ registry.
The provisions of this clause shall survive the termination of the Terms for a period of 6 years.

CONFIDENTIALITY

All the Intellectual Property including but not limited to “ICICI Bank” logo, technology images, software, the “look and feel” of the Website, the compilation, assembly and arrangement of the materials of the Website are Intellectual Property of ICICI Bank.
The Intellectual Property Rights relating to the Offer shall be the exclusive property of the alliance partner of ICICI Bank.
The Intellectual Property Rights relating to the Content from any third party, hosted on the Website shall be the exclusive property of the respective third party.
The Intellectual Property Rights relating to any Content submitted by the User and hosted on the Website, shall be co-owned by ICICI Bank and the User.
Nothing contained herein shall be construed as granting or implying any transfer of Intellectual Property Rights (including license rights) from one party to the other. Any rights not expressly granted in these Terms of Use are expressly reserved

GOVERNING LAWS, JURISDICTION AND DISPUTE RESOLUTION

These Terms shall be construed in accordance with the laws of India. Courts of Mumbai shall have the exclusive jurisdiction to entertain any disputes arising out of or relating to these Terms to the exclusion of all other courts. In case of any dispute between ICICI Bank and any User involved in the Program, the decision of ICICI Bank will be final and binding.

TERMINATION

The User agrees that ICICI Bank reserves the right in its sole discretion and at any time to terminate or suspend the Membership and/or block the User’s access to the Website for any reason, including, without limitation, if the User has failed to comply with the letter and spirit of these Terms. The User agrees that ICICI Bank shall not be liable to the User or any third party for any termination or suspension of the Membership or for blocking the User access to the Website.
ICICI Bank, may, in its sole discretion and at any point of time, suspend/cancel the Program without giving any reason thereof and/or without giving any prior notice of the same.
If the User becomes a registered user, the User may terminate Membership at any time by sending an e-mail to support@liveyourpassion.in
Any suspension or termination shall not affect the User’s obligations to ICICI Bank under these Terms. The provisions of these Terms which by their nature should survive the suspension or termination of the Membership or these Terms shall survive, including, but not limited to, indemnities, releases, disclaimers, limitations on liability, provisions related to choice of law, dispute resolution.
The User agrees that upon suspension or termination of the User’s account, the User shall immediately discontinue use of the Website and destroy any copies of Website Content in the User possession, including deleting any downloaded Content on the User computer.
The User agrees that any actions taken under this section may be effective without any prior notice to the User.

INDEMNITY

The User shall, at its own expense, indemnify, defend and hold harmless ICICI Bank and its officers, directors, employees, parents, partners, successors, agents, distribution partners, affiliates, subsidiaries, and their related companies from and against any and all claims, liabilities, losses, damages, obligations, costs and expenses (including reasonable attorneys’ fees and costs) arising out of, related to, or that may arise in connection with: (i) the User’s access to or use of the Website; (ii) User Content or through use of the User’s Membership; (iii) any actual or alleged violation or breach by the User of these Terms (iv) any actual or alleged breach of any User’s representation, warranty, or; or (v) the User’s acts or omissions.
The User hereby agrees to release and indemnify ICICI Bank and its officers, directors, employees, parents, partners, successors, agents, affiliates, subsidiaries, and their related companies from claims, demands, and damages of every kind or nature arising out of, relating to, or in any way connected with any dispute between persons accessing the Website or between persons accessing the Website and any third party which has provided the content on the Website.

DISCLAIMERS

The Website may provide hyperlinks and/or advertisements to third party websites, advertisers, services, special offers, or other events or activities that are not owned or controlled by ICICI Bank. These websites are not owned or controlled by ICICI Bank. ICICI Bank does not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services. If the User accesses any third party website, service, or content from ICICI Bank, the User does so at his/her own risk and the User agrees that ICICI Bank shall have no liability arising from your use of or access to any third-party website, service, or content. ICICI Bank shall not liable for any cancellations/changes in offers made by any third party. ICICI Bank shall not be held responsible/liable for personal information that third parties collect, store and use through their website. User should always read the privacy policy of each website visited by him/her.
ICICI Bank reserves the right to change, modify, add or remove portions of these Terms at any time and without prior notice, and any changes will become effective immediately upon being posted unless provided otherwise. The User’s continued usage of the Website after this Terms has been amended shall be deemed to the User’s continued acceptance of the terms and conditions of the Terms, as amended.
In case of Intellectual Property Rights violation or any damage arising out of User generated content in this Program, the onus, responsibility and consequences thereof shall be taken on/ borne by the User solely and completely without any responsibility of ICICI Bank.

MISCELLANEOUS

Notwithstanding anything contained in the Terms or in any other document:

Under no circumstances shall ICICI Bank be liable to the User for any direct, indirect, incidental, consequential, special or exemplary damages arising with respect to the Program / activities carried on under the Terms or the termination of this Program, even if ICICI Bank has been advised of the possibility of such damages, such as, but not limited to, loss of revenue or anticipated profits or lost business
ICICI Bank shall not have any liability whatsoever in case of any third party claims, demands, suit, actions, or other proceedings against the User or any other person engaged by the User in relation to the Program and/or arrangement contemplated under the Terms
ICICI Bank reserves the right to revoke the User’s membership without assigning any reasons thereof, if it has reasonable grounds to believe that the User has breached any of these terms and conditions as may be specified by ICICI Bank from time to time. The decision of ICICI Bank shall be final and binding in this regard
